1. Agreement to Terms

By accessing or using Amplyon ("the Service"), operated by Amplyon ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Amplyon is a software-as-a-service (SaaS) platform that provides server-side conversion tracking, analytics, product management, and business intelligence tools for e-commerce merchants. The Service integrates with third-party platforms including e-commerce platforms, Google Ads, Meta Ads, and TikTok Ads through their official APIs on your behalf. The Service processes and transmits conversion data, campaign performance metrics, and related analytics data as authorized by you through platform connections.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. User Obligations

By using the Service, you agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Ensure that you have the legal authority to connect third-party accounts (online stores, ad platform accounts) to the Service
  • Comply with all applicable laws and regulations, including data protection and privacy laws (GDPR, CCPA, and others)
  • Maintain the accuracy of your account information and billing details
  • Not attempt to gain unauthorized access to any portion of the Service, other accounts, or systems connected to the Service
  • Not use the Service to transmit any malicious code, viruses, or harmful data
  • Not resell, redistribute, or sublicense the Service without prior written consent

5. Billing and Payments

The Service operates on a subscription model with monthly billing. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis. Subscription fees are billed in advance on a monthly basis and are non-refundable except as required by law. We reserve the right to change pricing with 30 days written notice. If you do not cancel your subscription before a price change takes effect, your continued use constitutes acceptance of the new pricing. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you will retain access until that period ends.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Amplyon and its licensors. The Service is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software.

7. Data Ownership

You retain all rights to your data. We do not claim ownership over any data you provide to or generate through the Service. We process your data solely to provide the Service as described in our Privacy Policy. Upon termination of your account, we will delete your data in accordance with our data retention policies.

8. Third-Party Integrations

The Service integrates with third-party platforms (e-commerce platforms, Google Ads, Meta, TikTok, and others). Your use of these integrations is subject to the respective terms of service and privacy policies of those platforms. We are not responsible for the availability, accuracy, or reliability of third-party services. Changes to third-party APIs or policies may affect the functionality of the Service, and we are not liable for any resulting disruption.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable notice. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Amplyon, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; or (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

11. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any results obtained from use of the Service will be accurate or reliable.

12. Indemnification

You agree to defend, indemnify, and hold harmless Amplyon and its licensors, service providers, employees, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Wyoming.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.
